Terms & Conditions

1. Scope

1.1 This page describes the Terms of Use that apply to all internet users visiting http://www.PREPTIC.com (the “Site”). By checking a checkbox during the ordering process, you confirm (1) that you are at least 18 years old and (2) that you have read and agree to these Terms of Use. These Terms of Use expressly supersede any prior agreements or arrangements with you with respect to the subject matter of such prior agreements or arrangements.

1.2 These Terms of Use were last updated on February 16, 2022. PREPTIC reserves the right to change these Terms of Use at any time. You acknowledge and agree that your use of the Site and the services and/or products offered on it, may be conditioned upon acceptance of a revised version of these Terms of Use.

1.3 Additional terms and conditions may apply to certain services, such as policies for a particular event, program, activity or promotion, and such additional terms will be disclosed to you separately. Additional terms are in addition to and are deemed to be part of these Terms of Use for the purposes of the applicable Service(s). Additional terms take precedence over these Terms of Use in the event of any conflict with respect to the applicable Services.

2. Packages and services

2.1 You may purchase various health tests (the “Services”) through our Site. These Services differ in content and consist of the following packages:

  • Energy & Stress;
  • Vitamins & Minerals;
  • Vital Organs;
  • Total Health;
  • PMO

On our Site you can read the difference per package and the costs per package.

3. Purchase and cancellation

3.1 When you purchase the Services through our Site (the “Purchase”), they will be made available to you upon payment for a period of 12 months (the “Term”). If you do not use the Services within the Term, they will expire by operation of law. If you wish to extend the Term due to force majeure, you must inform us as soon as possible after you have become aware of the force majeure situation.

3.2 The Purchase is made by placing an order on the Site and the subsequent appointment confirmation to undergo research and/or coaching by or through PREPTIC. During the purchase process you will be informed and you agree that there is no 14-day cooling-off period (the legal 14-day cancellation period) within which the agreement can be cancelled.

3.3 The Purchase is formed by the written agreement between you and PREPTIC, including the questionnaire about lifestyle and these Terms of Use expressly form part of and supersedes all previous proposals, correspondence and agreements, in whatever form.

3.4 Oral and/or written promises or agreements by or with employees of PREPTIC are only binding on PREPTIC if, and as soon as, they are confirmed in writing by an authorized person or an employee designated for that purpose by the authorized person.

3.5 Planned appointments for research and/or coaching can be changed or cancelled free of charge up to 72 hours before the appointment.

3.6 In the event of a change or cancellation between 72 and 24 hours before the appointment, you owe 50% of the agreed amount to PREPTIC. If the appointment is changed or cancelled within 24 hours prior to the appointment, the full agreed amount will be charged.

3.7 It is possible to deviate from the provisions of article 3.6 if the change or cancellation is the result of a demonstrable force majeure situation.

3.8 Changes or cancellations of an appointment must be made by e-mail. Changes or cancellations made by telephone must always be followed up without delay by a written confirmation by you through sending an e-mail.

3.9 If you do not show up for a scheduled appointment without a timely change or cancellation, as referred to in this article, the fully agreed amount will be charged. No refund will be made in such cases.

4. Right to suspend Services

4.1 PREPTIC may terminate the Services immediately if you fail to fulfill your obligations (for example, if you fail to comply with these Terms of Use), multiple times in a row. During the period that the Services are terminated by PREPTIC during the Term, you will be obligated to pay your compensation, as well as any other costs incurred as a result of your violation.

4.2 Suspension for Prohibited Acts. We may suspend your Purchase and thereby access to any or all of the Services without notice for any use of the Services in violation of any applicable law or regulation or the Terms of Use.

4.3 Suspension for non-payment. We will notify you of any non-payment of any amount due. Unless the full amount has been paid, we may suspend your access to any or all of the Services if the outstanding amount is not paid within seven (7) days of such notice. We will not suspend the Services while you reasonably, and in good faith, dispute the applicable charges and work diligently to resolve the dispute.

5. Payment

5.1 When you purchase the Services via our Site, you authorize PREPTIC to perform a direct debit (in installments) and/or to charge your credit card or bank account or you pay all fees due directly via iDeal during the Term, depending on your chosen payment option. You further authorize us to use a third party to process payments, and you consent to the disclosure of your payment information to that third party. View the payment provider’s terms of use here: www.mollie.nl. When ordering PMO or starting a coaching program, an invoice will be sent to you.

5.2 You may not revoke the authorization during the term of the Term without the written consent of PREPTIC. If you revoke the direct debit and/or credit card authorization, or if the amount owed cannot be collected (for example, because your bank balance is insufficient), PREPTIC may charge you an administration fee.

5.3 PREPTIC may terminate the Purchase immediately if you have applied for or been granted debt relief or suspension of payment, or if you file for bankruptcy or if you have been declared bankrupt or if you fail to perform any of your obligation or obligations under this agreement.

5.4 All amounts and fees are payable in Euros (€), including value added tax, and are non-cancellable and non-refundable.

6. About the Site and Services

6.1 On our Site you can read an explanation of the packages and Services offered. Our services include, but are not limited to:

  • Research into sufficient vitamins and minerals in blood;
  • Research into your values ​​related to fatigue and stress;
  • Research into the values ​​associated with the functioning of, among other things, your heart, thyroid and liver;
  • Research into the health of your employees
  • Coaching in the field of nutrition, exercise and mind.

6.2 The Site and Services are designed and intended for use by residents in the Netherlands who are at least 18 years old. The Site is for personal and private use only.

6.3 The Services may be provided by third party suppliers in agreement with PREPTIC or certain PREPTIC affiliates (each of them a “Third Party Provider”). You acknowledge that the Services may be made available through such third-party vendors, including: (i) third parties engaged by PREPTIC; or (ii) independent third-party providers, including healthcare professionals.

6.4 The site and any information stored on the site, given by or received through the site are not intended as a substitute for professional medical advice, assessment, diagnosis or treatment. if you have any questions about your health or treatment, consult your GP, healthcare professional, physician or other qualified healthcare professional. never ignore professional medical advice or delaying seeking it.

6.5 PREPTIC is affiliated with De Geschillencomissie, which provides a complaints and dispute settlement procedure, within the meaning of the Healthcare Quality, Complaints and Disputes Act (Wkkgz). 7. Privacy Policy

7.1 PREPTIC’s privacy policy is displayed when you place an order through our Site and is also available at any time on our Site in the footer (at the bottom of the Site) via the “Privacy Statement” link. This privacy statement is incorporated into and subject to these Terms and Conditions.

7.2 PREPTIC is committed to protecting your privacy. PREPTIC is designed to fully comply with privacy and data security by design concepts (“privacy by design”). Personal information collected through the Site or Services will only be used in accordance with our Privacy Statement. PREPTIC will at all times fully comply with its Privacy Statement regarding the privacy and security of available customer data when providing the Services.

7.3 You agree that PREPTIC may collect and use technical data and related information, including but not limited to technical information about your device, system, application software and peripherals, which is collected periodically to provide software updates, support and other services to facilitate you in relation to the Services (if applicable) and/or Site. PREPTIC may use this information to improve its services or to provide you with products or technologies, as long as it is in a form that does not personally identify you.

7.4 PREPTIC has all right, title and interest in and to all customer data that is not personal data and is solely responsible for the legality, reliability, integrity, accuracy and quality of all such customer data.

7.5 PREPTIC follows its customer data archiving practices as set forth in its Privacy Statement available on our Site. PREPTIC may change such document in its sole discretion from time to time. A latest version of our Privacy Statement can be found on our Site.

7.6 PREPTIC is not responsible for any loss, destruction, alteration or disclosure of customer data caused by a third party not engaged by PREPTIC or under its (processing) responsibility.

7.7 Without prejudice to the generality of the foregoing, with respect to any customer data processed in connection with PREPTIC’s performance of its obligations under these Terms of Use: (a) process such customer data only on the basis of the performance of the Services, unless PREPTIC is legally obliged to process personal data. Where PREPTIC relies on applicable law as the basis for processing customer data, PREPTIC will promptly notify you before performing the required processing, unless such applicable law prohibits PREPTIC from providing you with notice; (b) not transfer personal data outside the European Economic Area (EEA) unless the following conditions are met: (i) PREPTIC has provided appropriate safeguards with regard to the transfer; (ii) you have enforceable rights and effective remedies; (iii) PREPTIC complies with its obligations under data protection law by providing an adequate level of protection to all customer data transferred; and (iv) PREPTIC will comply with any reasonable instructions provided by you regarding the processing of your personal data; (c) respond to any request from you and to ensure compliance with its obligations under data protection law with regard to security, data breach notifications, impact assessments and consultations with supervisory authorities or regulators (d) notify you without undue delay when we are aware of a personal data breach.

8. Third Party Links and Services

8.1 The Site may contain links to or provide features that interact with third party applications, websites or other resources, including third party social networks (“Third Party Services”). Third Party Services are not under the control of PREPTIC and PREPTIC is not responsible for the availability, content or performance of these Third Party Services.

8.2 PREPTIC does not check such Third Party Services and is not responsible for the content, functionality or practices of such Third Party Services. If you access these Third Party Services (via the Site), you do so at your own risk. We encourage you to read the terms of use and privacy policies on those Third Party Services. You agree that PREPTIC shall not be liable for any damage or loss of any kind resulting from your use of any Third Party Services.

9. Availability of the site, updates and changes

9.1 By visiting the Site you acknowledge that:

  • it is technically impossible for the Site to be provided free of defects;
  • the Site may be at certain times temporarily unavailable; and
  • the operation of the Site may be adversely affected by events and/or matters outside the control of PREPTIC, for example, transmission and telecommunication.

9.2 PREPTIC may, in its sole discretion, perform maintenance work, make improvements and/or changes to the Site from time to time, which may include upgrades, bug fixes, patches and other error corrections and/or new features (collectively, including related documentation, “Updates”). Updates may also change or remove certain features and functionality in their entirety.

10. Intellectual Property

10.1 The Site and all intellectual property rights related thereto, such as copyrights, patents, trademarks, sui generis rights relating to databases, designs, logos, know-how and all other intellectual property rights (whether registered or not) in this Site are protected by applicable intellectual property law. You acknowledge and agree that PREPTIC and/or its licensors own all intellectual property rights in the Services. Except as expressly provided herein, this agreement does not grant you any rights in, under or in any patents, copyrights, database rights, trade secrets, trade names, trademarks (whether registered or unregistered), or other rights or licenses in relation to the Services.

10.2 We hereby grant you a personal, limited, revocable, non-exclusive, non-transferable, and royalty-free license to download, access and use the Site in accordance with the terms and limits set forth in these Terms of Use(“License”). The License is granted to use the Site on compatible (mobile) devices that you own or control.

10.3 Except for the license granted to you, and to the extent permitted by applicable law, the Site and related intellectual property rights may not be reproduced, used or transferred without the prior written consent of PREPTIC, or, if the rights in the said elements are in the hands of third parties, with the permission of their respective owners.

10.4 The Site contains material that is protected by intellectual property laws, including but not limited to copyright. PREPTIC owns or is a licensed user of the copyrights, trademarks, service marks and trade rights in all materials and content displayed on and from the Site. You may not copy, reproduce, modify, translate, adapt, republish, upload, distort, alter, modify, transmit or distribute in any way, in any medium, in part or in whole any element or part of the Site, without the prior written consent of PREPTIC, or, if the rights to the said elements are held by third parties, the consent of their respective owners, and subject to compliance with intellectual property rights and other proprietary rights mentioned. You may not decompile, reverse engineer, disassemble or disable any feature that could limit your use of the Site. You may not rent or sublicense, lease, loan, sell or distribute the Site and any intellectual property contained in the Site, or create derivative works of the Site or any part thereof without the prior written consent of PREPTIC. You may not remove, alter or obscure any intellectual property notices (including copyright notices) on any authorized copy of the Site.

11. Limitations of Liability

To the extent permitted by applicable law, in no event shall preptic or its affiliates, or any of its or their respective licensors or service providers, have any liability arising out of or relating to:

  1. personal injury, property damage, lost profits, loss of data, loss of goodwill, business interruption, interruption or failure of the computer or any other consequential, incidental, indirect, special or, special damages;
  2. direct damages in amounts exceeding in the aggregate the amount actually paid for the services within the past twelve (12) months.

the above limitations apply to such damages resulting from any breach of any contract, remedies (including negligence) or otherwise and regardless of whether such damages were foreseeable or that whether such damages were foreseeable or that whether that was prepared for the laws of the preparation.

some jurisdictions do not allow certain limitations of liability, so some or all of the above limitations of liability may not apply to you.

11.2 In addition, it is your responsibility to take precautions to prevent contamination of the Site by, in particular, one or more “viruses”, “Trojan horses” or other “parasites”.

11.3 PREPTIC acts as a healthcare provider with regard to the provision of the Services and performs the medical treatment agreement with you, whether or not this is provided through its affiliates and/or individual independent doctors/nurses. In that capacity, PREPTIC is responsible and liable for the execution of the medical treatment agreement in accordance with the provisions of the law (WGBO). Liability of PREPTIC must take place in writing after the shortcoming on the part of PREPTIC has been discovered, or could reasonably have been discovered, with a detailed description of the grounds that led to the liability. PREPTIC assesses, together with the professional liability insurer, the liability. Liability of PREPTIC does not lead to suspension of the payment obligation.

12. General information

12.1 These terms and conditions are governed by Dutch law, and any claims arising from or related to a visit to the Site or the use of Services are subject to the exclusive jurisdiction of the competent Dutch court.

12.2 Any waiver of these Terms of Use will be effective only if in writing and signed by you and PREPTIC. If any provision(s) of these Terms of Use are held by a court of competent jurisdiction to be invalid or unenforceable, such provision(s) shall be interpreted to the best of their ability to reflect the intentions of the parties (as reflected in the provision(s) en) and all other provisions remain in full force and effect.
